Exit Horizon Inc., operating as Horizon ("Horizon," "we," "us," or "our") operates the Site to share information about our services, publish content, host our podcast, newsletter, valuation and assessment tools, and enable prospects to book introductory conversations.

These Terms govern your use of the Site itself. They are separate from:

Section 01

## License to use the Site

Subject to your compliance with these Terms, Horizon grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use, and — if you are an owner, operator, or advisor considering our services — to evaluate whether to engage us.

Section 02

## Intellectual property

All content on the Site — including text, graphics, logos, images, video, audio, methodologies, frameworks, and interactive tools — is owned by Horizon or its licensors and is protected by Canadian and international intellectual property laws. "Horizon," the wordmark, and related brand assets are our trademarks.

You may not copy, reproduce, distribute, publish, transmit, or create derivative works from Site content without our prior written consent, except that you may:

Share links to Site content on social media and other platforms with appropriate attribution.

You may (b)

Print or download single copies of Site content for your own personal, non-commercial reference.

## Prohibited uses

You agree not to:

(a)use the Site for any unlawful purpose or in violation of any applicable law or regulation;

(b)scrape, harvest, or use automated means (including bots, spiders, or crawlers) to access, monitor, or copy the Site or its content, other than legitimate search engines indexing publicly-accessible pages consistent with our robots.txt;

(c)use the Site, or any content on the Site, to train, fine-tune, or develop artificial intelligence, machine learning, or similar models;

(d)reverse-engineer, decompile, or otherwise attempt to derive the source code or underlying methodologies of any Site feature, tool, or content;

(e)use the Site or its content for competitive purposes, including for the benefit of any business that competes with Horizon;

(f)interfere with or disrupt the Site, its servers, or its security features;

(g)attempt to gain unauthorized access to any part of the Site, other users' data, or Horizon's systems;

(h)misrepresent your identity, impersonate any person or entity, or provide false or misleading information;

(i)transmit any viruses, malware, or other harmful code; or

(j)engage in any conduct that restricts or inhibits any other person's use or enjoyment of the Site.

## Interactive tools and inputs

The Site may include interactive tools such as valuation calculators, assessments, and questionnaires.

Any output from such tools is illustrative and directional only — not a formal valuation, appraisal, fairness opinion, or professional advice.

You are solely responsible for evaluating any output. Information you provide through such tools is subject to our [Privacy Policy](/privacy-policy).

## Newsletter and communications

If you subscribe to our newsletter, sign up to book an introductory call, or provide your contact information through the Site, you consent to receive communications from Horizon in accordance with Canada's Anti-Spam Legislation and our [Privacy Policy](/privacy-policy). You may unsubscribe from marketing communications at any time using the unsubscribe link in each message or by contacting us.

## Third-party links and services

The Site contains links to and embeds content from third-party sites and services, including podcast platforms, event platforms, video hosting, social media, and scheduling tools. We do not control and are not responsible for the content, privacy practices, or terms of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to that third party's terms and privacy policies.

## No advice; no warranty

The Site and its content are provided for informational and educational purposes only.

Nothing on the Site constitutes legal, tax, accounting, financial, investment, or other professional advice, and nothing on the Site creates an advisor-client relationship. You should consult your own qualified professional advisors before making any business or transaction decision.

## Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HORIZON ADVISORS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND INDEPENDENT CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

## Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

## Changes to these terms

We may update these Terms from time to time. Material changes will be posted on the Site with an updated effective date. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.

Section 11

## Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising out of or relating to these Terms or your use of the Site.
